Top Responsibilities: - Draft, review, and manage a wide variety of contracts, including NDAs, vendor agreements, and service contracts.
- Support corporate governance activities, including drafting board and shareholder meeting minutes, resolutions, and otherwise maintaining corporate records.
- Prepare draft response(s) to customer complaints and regulatory inquiries.
- Maintain legal files, databases, and entity management systems; handle corporate filings and annual reports across multiple jurisdictions.
- Schedule meetings, coordinate correspondence, and serve as a liaison between the legal department, internal teams, and outside counsel.
- Conduct legal research, prepare summaries or recommendations, and assist with discovery, fact investigation, and document preparation.
- Prepare affidavits, and conduct initial interviews with relevant parties to gather information concerning potential and active litigation matters.
- Support due diligence activities for litigation matters, corporate transactions, financing, and audits.
- Develop and maintain legal policies, processes, and templates to ensure efficiency and compliance.
Minimum Qualifications: - Bachelor’s degree required; paralegal certification strongly preferred.
- 4+ years of paralegal experience, ideally in a corporate legal department.
- Strong understanding of corporate governance, compliance, and contract management.
- Experience supporting general civil litigation matters, and corporate transactions is a plus.
- Exceptional organizational skills with strong attention to detail.
- Ability to handle multiple projects and prioritize in a fast-paced, dynamic environment.
- Excellent written and verbal communication skills.
- High level of integrity, discretion, and professionalism.

Annual Salary: $70,000 – $120,000 annually (based on experience)
